Creator and Publishing Terms
Effective date: 24 October 2026 Last updated: 24 October 2026
Key publishing terms
You keep ownership and may publish your content elsewhere, provided you have the necessary rights. Each Committed Tour has one initial minimum publication period of 12 calendar months. Every Tour published by an individual or Organisation for visitor use is a Committed Tour, whether free or paid, including Tours under a bespoke onboarding fee, reduced commission, subsidised or free-only Company Plan. The period begins when the Tour is actually live and available to the intended visitors, not when the creator first makes a sale, uploads a draft, receives approval, claims a company account or starts a subscription. The same period applies regardless of routine Guides promotional or production support, unless an accepted, specifically scoped agreement expressly varies it.
There is no automatic renewal into another minimum period. Once it ends, you can withdraw the Tour from new visitor availability immediately, without advance withdrawal notice. The same minimum applies to free personal Tours. Safety, legal and other justified early-withdrawal exceptions apply.
Withdrawal stops new visitor access, acquisitions and sales. It does not cancel any previously promised, documented customer access entitlement. Guides has a limited 90-day operational wind-down licence, separate rights to serve existing customers for their agreed access period, and the Continuing Promotional Licence below. None creates exclusivity.
Marketing after withdrawal: by publishing under these terms and completing the rights acceptance, you authorise Guides to keep using rights-cleared Marketing Materials, including Tour and professional names, supplied logos and branding, individual images and reasonable extracts, in existing and new organic or paid marketing, including Guides' website, social-media accounts, articles, newsletters and advertisements. This licence has no scheduled expiry and survives Tour withdrawal, account closure and the end of a Company Plan, subject to the actual duration of the underlying rights, disclosed asset restrictions and sections 4 and 9. It is not limited to old posts or to 90 days. Guides cannot use it to republish or sell the whole Tour, reconstruct substantially the whole experience, misrepresent a withdrawn Tour as available, or imply an endorsement or ongoing partnership that does not exist. Legal, privacy, safety and material-misuse safeguards apply. No separate royalty or approval is required for each use within this agreed scope.
These key points are a summary. The provisions below define the agreement.
1. Parties, scope and authority
1.1 This agreement is between JITI LTD (company number 15686662), trading as Guides.app ("Guides"), and the individual or legal entity identified as the publisher of the relevant Tour or creator account ("you" or "Publisher"). Contact: hello@guides.app.
1.2 You must be at least 18 and have authority to enter this agreement, licence the material and bind the relevant organisation. A trading name, team membership, company claim code or profile display name does not itself identify the legal owner or establish signatory authority. You must identify the contracting Publisher and any relevant seller accurately. Where a company, charity or other organisation is the Publisher, it must secure sufficient rights from employees, contractors and other contributors to grant the licences required here.
1.3 An authorised team member may manage content for the Publisher. Where a Tour is expressly published under an Organisation's verified company account, that Organisation is the Publisher for that Tour (whether it owns the underlying copyright or holds sufficient licences). An individual team member does not automatically become the contractual Publisher or assume the Organisation's payment debts. A Tour expressly published by an individual in a separate personal publisher account is not automatically governed by the Organisation's bespoke plan. A transfer to another Publisher requires Guides' written approval and a recorded assumption of applicable obligations; it does not restart or erase the Tour's initial period. Disputes between an organisation and its members must not deprive customers of rights already granted.
1.4 The Terms of Use, the Creator Commercial Schedule accepted for your account or Tour, Creator Safety Standards and applicable Platform policies form part of this agreement. This agreement prevails over the general Terms of Use for publishing. An accepted Company Plan Order (see the Business Plan Terms) normally changes only the Organisation's plan and specified commercial items. A separately signed or otherwise lawfully executed Organisation Order, tour-specific production or distribution agreement prevails over a publishing provision only where it expressly identifies that provision, the affected Tour(s) or defined class of Tours, and the agreed variation. Plan labels, internal configurations and claim codes cannot silently create exclusivity, reset the publication period or erase purchaser access. Any variation needing a signed copyright licence must satisfy the applicable execution requirements.
1.5 Provisions expressly applying to business users apply only where you are acting in that capacity. Calling you a Publisher does not remove consumer rights that apply to you in fact or mandatory platform-business protections.
2. Definitions
Tour means the identified self-guided digital experience, including its licensed recordings, script, images, video, translations, stop information, route, metadata and associated promotional assets, to the extent you have rights in them. Public facts and locations are not made proprietary merely by inclusion.
Marketing Materials means the following material that you authorise under the recorded rights acceptance: the titles and descriptions of Tours actually published under this agreement; your public professional or trading name; supplied creator or Organisation names, logos, trade marks and branding; individual cover/stop photographs, illustrations, thumbnails, stills and screenshots; and reasonable text, audio, video and route-preview extracts. It also includes promotional assets you expressly supply for these purposes. A complete individual photograph or logo may be used, but the permitted use must not reproduce or reconstruct substantially the whole Tour or provide a substitute for the experience, even through multiple posts. Private drafts, private contact details, customer reviews, confidential material and material outside the recorded permission are excluded. For a confidential or restricted-audience experience, only the particular assets expressly cleared for public promotion are Marketing Materials; publishing an unlisted link does not, by itself, authorise disclosure of confidential material.
Promotional Rights Record means the retained record linking the Publisher, Tour and identifiable assets/versions to the accepted licence, authorised signatory, evidence of rights and any applicable channel, territory, duration, attribution, brand-use or other restrictions. It may be recorded through the publishing interface or an accepted written asset schedule. An unsupported internal flag is not a grant of rights.
Continuing Promotional Licence means the non-exclusive promotional permission granted in section 4.3 and surviving on the terms in section 9.4. It is distinct from full-Tour distribution, customer access and operational wind-down.
Organisation means a company, charity, public body or other legal entity publishing a Tour under its verified organisation/company account through an authorised representative, rather than a person publishing independently in a personal account. The actual legal entity, not its profile label or claim-code holder, is the Publisher.
Committed Tour means a Tour first made available to its intended external visitor audience by an individual or Organisation under these terms after the required acceptance, whether free or paid and whether distributed through a searchable listing, unlisted link, QR code or other agreed channel. A genuine internal draft or team preview is not visitor publication.
Qualifying Publication Date means the recorded UTC time when, after the required per-Tour acceptance, a Committed Tour is first actually live and accessible to its intended visitors through Guides. For a paid Tour, this is when the published Tour first appears in the relevant Guides storefront or visitor-access channel with a functioning opportunity to purchase or otherwise acquire the paid Tour, whether or not anyone buys it. For a free Tour, this is the first actual visitor-facing availability, including a personal or Organisation Tour shared through a public listing, unlisted link, QR code or other agreed external visitor channel. Merely saving or submitting a draft, approving content, scheduling a future launch, creating or claiming a company, enabling a plan, or displaying a non-functional listing does not start the period. Neither a first sale nor a first visitor scan is required. Existing Tours are governed by section 14.3.
Minimum Publication Period means the 12-calendar-month period beginning on the Qualifying Publication Date. Its end is the corresponding date and time in the following year, recorded in UTC; for 29 February, the end is 28 February in the following year. The dashboard must show the resulting withdrawal-available date.
Withdrawal means disabling new paid orders, new free visitor access and new customer acquisitions of a Tour through Guides. Effective Withdrawal Time means when that change takes effect, after the initial period or under an approved or mandatory exception.
Protected Entitlement means an access right acquired before the Effective Withdrawal Time through a completed paid purchase; a specifically recorded, fully paid voucher or fixed-quantity distribution allocation validly issued beforehand; or an expressly recorded free-access grant for which Guides promised a defined continuing access period. Merely viewing or scanning an openly available free Tour does not, by itself, create an indefinite post-withdrawal entitlement. It excludes uncompleted baskets, unaccepted purchase requests and open-ended reseller rights. Each entitlement lasts only for its promised duration and subject to lawful cancellation, safety restrictions or remedy.
3. Non-exclusive publishing and ownership
3.1 You retain ownership of your intellectual property. This is a non-exclusive publishing arrangement. You may use, sell, licence, update and publish your content on your own website or other platforms, at prices you choose, subject to your other lawful obligations.
3.2 We impose no price-parity requirement or general restriction on competing tours. You may link to your legitimate professional presence where the relevant feature permits it. Do not mislead customers, misuse their data, or redirect an order already placed through Guides to avoid the agreed payment obligations.
3.3 You may only republish content that is legally available for this use. Our permission does not override a competitor's exclusivity, a commissioned-work agreement or third-party licence restrictions. Do not import a competitor's reviews, customer data, editorial assets or recordings without the rights necessary for those specific materials.
3.4 Exclusivity, ownership transfers, rights of first refusal and general AI-model training rights do not arise under this agreement. Any such arrangement must be separately, expressly and specifically agreed. Routine promotional or production support does not create one by implication.
4. Tour delivery and Continuing Promotional Licence
4.1 Private drafts. For uploaded drafts, you grant only the non-exclusive rights needed to store, process, review and provide the editing and publishing tools you request. Uploading a draft does not authorise public sale or marketing. Expressly supplied promotional assets can be licensed separately through a recorded acceptance.
4.2 Tour delivery. Once a Tour is actually published for visitor use, you grant Guides a non-exclusive licence, in the territories and media for which you hold the necessary rights, to host, reproduce, encode, cache, transmit, display, make available and distribute the Tour through Guides' website, applications and authorised delivery infrastructure. This includes granting customers the limited access licences explained in the Tour Purchase and Access Terms. Copyright ownership stays with you or the relevant rights holder. New full-Tour distribution ends on withdrawal, subject to the Protected Entitlements in section 9.
4.3 Continuing Promotional Licence. In consideration of Guides making its publishing and distribution service available, and as part of this agreement, you grant Guides a non-exclusive, royalty-free licence to retain, select, reproduce, quote, excerpt, display, communicate, publish and distribute the Marketing Materials and make the limited formatting edits in section 4.4. The permitted purpose is to market Guides and its self-guided-experience service, describe its present or past catalogue and publishing work, and promote relevant destinations and, while available, the particular Tour. The licence includes use of the supplied names, logos and registered or unregistered trade marks within that purpose, without transferring ownership or goodwill. It is worldwide only to the extent you can grant worldwide rights; every recorded narrower restriction prevails.
Permitted channels include Guides' website and applications, landing pages, blogs, destination guides and other editorial articles, newsletters and email campaigns, press materials, organic and paid social-media posts, online advertising, promotional videos and trailers, and Guides-branded printed marketing and presentations. Guides may create new material, repost or adapt earlier material, and pay to promote it, including after a Tour is withdrawn, subject to section 9.4. Ordinary uses within this scope need no separate per-post approval or promotional royalty. This is a contractual intellectual-property permission, not blanket consent to process personal data or send marketing to you.
4.4 Purpose, presentation and limits. We may crop, resize, caption, subtitle, combine cleared assets into a promotional montage and make reasonable short edits that preserve substance and context. Short translated promotional copy must be appropriately checked. We will comply with recorded brand-use conditions and retain required credits. We will not materially distort your work, remove a required attribution, make misleading claims, imply an endorsement you have not given, or use your identity or branding to promote an unrelated product or political position. Logo goodwill remains with its owner; we may not register your marks, claim ownership or use them as our own brand.
The licence permits complete individual images or logos where cleared, but not the whole or substantially the whole of any Tour, paid or free, or serial excerpts that cumulatively recreate it. It does not permit a new separately sold Tour, sale of standalone media assets, merchandise, an independent content library, full-Tour syndication or a substitute experience made from the Tour. General-purpose AI training, voice cloning and material narrative adaptations require separate, specific permission. Moral rights and applicable attribution rights remain; there is no general waiver of them. We will credit the relevant creator or rights holder where reasonably practical, and always where required by the recorded licence.
4.5 Asset restrictions and third-party clearances. You must own or hold sufficient rights for the uses and duration you authorise. Permission to put music, photographs, recordings, a person's image or a logo inside a Tour does not automatically permit advertising, sublicensing to a social platform or continued use after withdrawal. Before an asset is used, identify restrictions, expiry dates, attribution requirements, brand rules and limits on paid advertising or public promotion through the rights-declaration process or hello@guides.app. We must record and honour them and exclude assets from unlicensed uses. If a necessary restriction cannot be honoured, we must use alternative material or not use the asset.
You do not promise rights beyond the rights you actually identify and can lawfully grant. However, silence is not an acceptable substitute for disclosing a restriction known to you, and you remain responsible for inaccurate rights declarations. Do not grant incompatible rights later or deliberately revoke an underlying permission to defeat rights already validly granted. Promptly notify us of an actual or threatened rights loss or claim. No clause requires you to acquire an unlimited third-party licence or renew a properly disclosed expiring licence forever; Guides must stop or replace the affected use when the recorded rights end. Guides is responsible for clearing additional music, imagery, voiceovers, fonts or other assets it independently adds, and for use outside your grant or contrary to restrictions it has been given.
4.6 Service providers, media and onward permission. Guides may grant hosting providers, creative agencies, contractors, advertising networks, social-media platforms, printers and publication services only the non-exclusive permissions reasonably necessary to prepare, distribute, host and display permitted Guides marketing. Any onward permission must be compatible with the source rights, duration and restrictions. If a channel requires rights broader than we hold, we must obtain further permission or not use that asset there. This does not grant an independent right to resell your content, reuse it for unrelated campaigns or train general-purpose AI models. Genuine press/media partners may carry the approved Guides promotional or editorial item within the same scope; they receive no full-Tour distribution right.
Full-Tour reseller, external-marketplace or bulk distribution requires the separate accepted channel arrangement under the Commercial Schedule. It is not authorised merely because the channel also carries an advertisement.
4.7 Costs and technical processing. Guides bears the cost of marketing it elects to run unless a separate accepted arrangement says otherwise. No unagreed marketing charge reduces your earnings. Technical adaptations for Tour delivery may include compression, file conversion, requested captions, accessible formatting, indexing and delivery optimisation. No separate royalty is payable for the service and marketing uses licensed here, without reducing sums due under your accepted Commercial Schedule.
4.8 Duration. The section 4.2 distribution licence applies during publication and then only to the extent necessary for section 9. The Continuing Promotional Licence has no scheduled expiry for materials validly covered by it and survives ordinary withdrawal, the end of the Minimum Publication Period, account closure and termination of this agreement or an optional plan. It lasts only while the relevant intellectual-property rights subsist and we hold valid permission, and remains subject to sections 4.5, 9.4, 9.6 and 9.7 and mandatory law. It is not freely revocable merely because you withdraw a Tour or change platform; the specified safeguards and termination rights remain available. Retaining the marketing licence does not extend the publishing commitment or authorise new sales of a withdrawn Tour.
4.9 Successors and ownership. Rights necessary for the Guides business may be transferred to a genuine successor operator of that business only on these same limitations and existing obligations. This is not a general right to sell a standalone content library. You grant no exclusivity, ownership transfer, general-purpose AI-training right or voice-cloning right by publishing.
4.10 Recorded acceptance and signature. Before relying on these rights, we will prominently explain the continuing marketing use and retain the accepted terms and Promotional Rights Record. Your authorised electronic signature, including a typed name accompanied by an express intention to sign the identified agreement, may be used where lawful. Where a registered-trade-mark licence or another right requires a signed instrument, we must obtain the required signature by or on behalf of the person entitled to grant it; a claim code, upload or unsupported assertion of authority is not enough. You may disclose restricted assets or request a specifically agreed variation before acceptance. No additional private assets are silently enrolled by a later profile or account change.
5. Rights, quality and disclosures
5.1 Publisher rights warranty. You warrant that you are entitled to supply the Tour and grant the particular delivery and promotional rights recorded here, including authorised post-withdrawal uses, or have accurately disclosed a restriction that excludes the affected use. This covers text, photographs, illustrations, music, sound recordings, performers, translations, brand assets, likenesses and any necessary location permissions. The legal Publisher is responsible for obtaining contributor and third-party permissions for material it supplies; Guides' review or editing assistance does not certify that the rights exist. Rights for Protected Entitlements must last long enough to fulfil the access commitments you approve or an approved lawful replacement must be arranged. Rights for promotional assets must support their recorded permitted duration, including post-withdrawal use where granted.
5.2 Evidence and continuing notification. Keep proportionate evidence of ownership, contributor agreements, licences, releases and restrictions, and provide reasonably requested evidence of your authority. Identify territory, attribution, media, sublicensing, promotional, paid-advertising and expiry restrictions before the affected use. Do not assume online availability, a stock-library purchase, an export function or AI output establishes unrestricted rights. You must notify us promptly of a credible claim or loss of rights affecting any continuing use, even after withdrawal. We may pause the use and require clarification or a lawful replacement. These duties do not authorise unnecessary retention of personal data or require you to create new Tours indefinitely.
5.3 Listings must accurately describe the experience, price, languages, access, duration, route, included media, technical requirements, significant restrictions, accessibility information and any additional admission or transport costs. Material facts and directions must be checked. Separate historical evidence, interpretation, opinion, fiction and sponsored recommendations where their distinction matters.
5.4 You must comply with the Creator Safety Standards, relevant local law and third-party permissions. Keep material route and access information reasonably current and promptly report serious hazards, closures, infringement claims or loss of rights. Guides may correct an urgent factual or safety warning without prior approval where reasonably necessary, telling you where practicable.
5.5 You must provide accurate legal identity, trader status, address, contact, payout and tax information reasonably required for lawful operation and keep it current. Paid marketplace publication requires satisfactory verification and a lawful seller arrangement. We do not promise acceptance of every proposed Tour.
6. The 12-month publication commitment
6.1 Before the Tour can first become visitor-facing and a Qualifying Publication Date is recorded, Guides will display the legal Publisher (individual or Organisation), the Tour, whether the 12-month commitment applies or is expressly varied, the anticipated withdrawal-available date where applicable, the applicable Commercial Schedule if there are paid sales, any promised customer-access commitments, and a prominent explanation that the Continuing Promotional Licence permits new marketing after withdrawal without a scheduled expiry, and obtain affirmative acceptance from a person authorised to publish on behalf of that Publisher. That acceptance, including the authorised signature required by section 4.10 and asset restrictions, must be recorded and supplied in a form the Publisher can keep. A free personal Tour requires the same acceptance and initial minimum period. For an Organisation, accepting or redeeming a company claim code is not this per-Tour publishing acceptance. A hidden link or an unaccepted change to these terms does not by itself create the commitment.
6.2 For a Committed Tour, you agree to keep the substantive Tour available to its agreed external visitor audience through Guides throughout its Minimum Publication Period, whether access is paid or free, subject to sections 7 and 13 and any expressly agreed, scoped variation under section 1.4. The same standard applies whether or not Guides provides promotional placement, onboarding, editorial help or production assistance. Guides makes no promise of particular sales, rankings or marketing spend unless separately agreed in writing.
6.3 The commitment is a publication obligation, not an exclusive licence, guaranteed sales obligation or obligation to buy an annual subscription. You remain free to distribute elsewhere. Ending an optional paid plan must not force you to buy further subscription months solely to satisfy this clause; section 12 addresses continued distribution.
6.4 You must not deliberately defeat the commitment by deleting substantially all material, making the Tour inaccessible to its intended visitors, changing visibility, disabling new free or paid access, transferring ownership or closing the account merely to avoid the agreement. Ordinary editing, reasonable pricing changes and genuine safety corrections remain permitted. We will not compel an artificially low price or presume bad faith solely because you change a price.
6.5 Changing a Committed Tour from paid to free or free to paid, changing its commission rate, changing or ending an Organisation plan, or receiving or paying a setup/onboarding fee does not waive, restart or extend its existing commitment. The same initial period applies to personal and Organisation Tours. An ownership transfer does not restart a recorded period.
6.6 Edits, new languages, pricing changes, renewed subscriptions, account transfers, temporary pauses and republication of the same Tour do not restart the period. A materially distinct new Tour can have its own initial period after separate acceptance. There is no automatic extension for a suspension, outage or approved pause. An extension requires a separate express agreement and cannot override a statutory exit right.
6.7 At the end of the initial period, a Committed Tour stays available to its intended visitors until withdrawn, but you are not committed for another fixed term. You may withdraw immediately through the available control or by contacting hello@guides.app. No further 30-day or other advance withdrawal notice is required. The system must stop new orders and new free visitor access without undue delay, and a technical problem cannot add a contractual notice period.
7. Early withdrawal and urgent pauses
7.1 A minimum period never requires unlawful distribution or keeping a materially unsafe route available. You may immediately pause new paid and free visitor access through the urgent safety/rights process when there is a credible serious safety issue, legal requirement, infringement concern or loss of necessary rights. Tell us the reasons and relevant evidence as soon as reasonably practicable. No advance administrator approval is required to activate that protective pause.
7.2 We may restrict affected access while assessing the issue, arrange a lawful corrected version, approve permanent early withdrawal, or provide customer remedies. An early-withdrawal exception does not excuse a pre-existing culpable infringement or fraudulent report, but the protective restriction must not be withheld while liability is investigated.
7.3 We will also reasonably consider early withdrawal for serious illness, incapacity, bereavement, permanent business closure, long-term route unavailability or other substantial hardship. Requests will be assessed individually; there is no automatic approval fee or fixed exit penalty.
7.4 You may terminate an affected commitment where Guides commits a material breach and fails to remedy it within 14 days of a written notice, or sooner where the breach cannot reasonably be remedied or the law allows immediate termination. Statutory rights to terminate following a change of terms apply despite the minimum period. We may agree a waiver in other circumstances.
7.5 For an unjustified breach, we may seek proportionate remedies legally available for proven loss, subject to mitigation and this agreement's liability provisions. We will not automatically forfeit unrelated earned payouts, impose a punitive fee, or invent a repayment obligation for ordinary promotion. Any repayment of a production advance must be expressly set out in a separate signed schedule.
8. Withdrawal procedure and new sales
8.1 Withdrawal ends new paid orders, new free visitor access and new acquisitions through Guides at the Effective Withdrawal Time. We will instruct authorised full-Tour distribution channels to stop accepting new orders. We must stop, disable or correct campaigns and links that offer the withdrawn Tour for new access or misleadingly present it as currently available. Permitted brand, destination, portfolio and editorial marketing using the Marketing Materials may continue or be newly created under sections 4.3 and 9.4. The 90-day operational window is not an additional sales period.
8.2 A pre-existing Protected Entitlement may still be fulfilled after withdrawal, including an eligible voucher redemption. This is not permission to issue new vouchers, enlarge an allocation, extend its expiry or accept new reseller stock orders without your further agreement. Unpaid baskets and new customer orders are not protected.
8.3 A listing may become an unavailable, informational or historical page rather than deleting the URL. It may retain Marketing Materials covered by the Continuing Promotional Licence, but not public access to the whole Tour. Its status and calls to action must make clear that the Tour is no longer available for new access; it may direct visitors to other available Guides experiences without presenting them as your work or endorsement. Reviews and transaction records remain subject to their own rights and policies.
9. Rights that survive withdrawal
9.1 Existing customer access. You grant Guides the non-exclusive rights necessary to host, deliver, restore downloads, provide reasonable technical fixes, meet applicable update obligations and support each Protected Entitlement for the access duration promised when it was acquired. Those rights survive withdrawal, account closure, transfer and expiry of the Minimum Publication Period. They end for the relevant entitlement when it expires or is lawfully cancelled and no longer needs fulfilment, subject to legal records.
9.2 This customer-service licence does not authorise new retail sales, unrelated product development, a new Tour or general AI training. Existing customer licences are not revoked merely because you leave Guides. We may ask you to correct a material issue attributable to your content; this is not a general obligation to produce new Tours or indefinitely supply new creative material for free.
9.3 90-day operational wind-down. For no more than 90 calendar days after the Effective Withdrawal Time, Guides may retain and use what is reasonably necessary to reconcile prior transactions, deal with pre-existing refunds and disputes, remove operational caches and full-Tour distribution feeds, and withdraw or correct placements that no longer lawfully apply. Unavailable-Tour sales and misleading availability claims must stop without undue delay, not at day 90. This operational permission does not authorise new visitor access or new sales. The separately granted Continuing Promotional Licence is not limited by this 90-day period.
9.4 Continuing marketing after withdrawal. The Continuing Promotional Licence survives on the following conditions:
(a) Existing and new content. Guides may retain, display, reuse and adapt the licensed Marketing Materials in existing or new marketing and editorial content, including organic and paid social posts, website pages and articles, newsletters, advertisements, trailers, presentations and Guides-branded printed materials. This includes cleared Tour titles, public professional names, supplied logos/branding and individual images. The permission is not limited to material posted before withdrawal or to a passive archive. There is no scheduled expiry, subject to the actual rights and safeguards in this agreement.
(b) Accurate association. A withdrawn Tour must not be offered for new access. References to it, its creator or brand must not imply current availability, active membership, partnership, sponsorship, approval or endorsement where that would be untrue. Where needed to avoid confusion, identify it as a former or previously published Tour or describe the past relationship accurately. A logo's inclusion does not authorise a testimonial, a 'trusted by' claim or an invented recommendation. Reviews and testimonials require their own appropriate permission and substantiation.
(c) No republication of the experience. The licence does not allow Guides to publish the whole or substantially the whole Tour, paid or free, create a replacement Tour from it, issue new Tour entitlements, sell standalone assets or use a sequence of excerpts to reconstruct the experience. Full-Tour access for Protected Entitlements remains separately governed by section 9.1. Retain only the asset copies and reasonable extracts genuinely needed for permitted marketing, not the whole source Tour indefinitely merely on the basis that it might be useful for advertising.
(d) Restrictions still apply. All attribution, brand, territory, media, sublicensing and duration restrictions remain binding. The continuing licence ends for an asset or use where the necessary rights expire or are lawfully revoked by a person entitled to do so. Publisher withdrawal alone is not such an expiry. Guides must not assume that third-party material is licensed indefinitely merely because these terms have no scheduled end date. Guides may use a rights-cleared substitute when an asset becomes unavailable.
(e) Personal data and sensitive uses. Intellectual-property permission is separate from data protection, privacy, publicity/personality rights and required individual consents. A professional name, photograph, recorded voice or likeness may be used only with the applicable lawful basis and permissions. We must respect valid objections, erasure/restriction rights and consent withdrawal where applicable. We will not use this licence as blanket permission for advertising featuring children, sensitive personal information, or a personal endorsement; those uses require a separate assessment and any necessary specific permission. Section 9.7 provides a removal/restriction route.
9.5 Records and retention. After the operational period, full-Tour material may be retained only for a separately surviving customer obligation or a specific legal/evidential need, unless another valid specific agreement applies. Cleared Marketing Materials may separately be retained while genuinely needed for the permitted marketing use, with periodic review of rights and personal-data necessity. Evidential copies are access-restricted and not authorised for unrelated commercial use. Backups and personal-data retention follow a documented schedule and applicable law; neither 90 days nor the licence's duration is a universal statutory retention period.
9.6 Safety, rights and legal override. No continuing licence requires or permits unlawful supply, infringement, breach of a recorded restriction, a misleading endorsement or an unacceptable safety risk. A contract cannot cure missing third-party rights or remove a rights holder's remedies. We may disable affected material, use a lawful correction/replacement and provide appropriate customer remedies. Allocation of costs between Guides and the Publisher depends on cause, sections 5 and 15 and applicable law, not on the fact of withdrawal alone.
9.7 Restrictions, complaints and material misuse. Contact hello@guides.app identifying the material and reason if you believe a continuing use lacks rights, exceeds permission, misstates your relationship, creates a substantiated serious safety/privacy/welfare concern, or is otherwise unlawful. We will promptly assess it, pause affected use where reasonably necessary for a credible serious concern, and correct, restrict, replace or remove material as required. For non-urgent requests we will aim to give a reasoned response within 30 days; any shorter legal deadline or need for prompt protective action prevails. The decision and review process in the rights and enforcement policies applies.
You may terminate the affected promotional permission for a material breach by Guides that remains unremedied 14 days after written notice identifying the breach, or sooner where the breach is incapable of remedy or applicable law permits immediate termination. Broader statutory termination and consumer remedies remain. Ordinary withdrawal, account closure, competitor publication or a change of preference alone does not revoke an otherwise valid licence. We may nevertheless agree a reasonable discretionary restriction without charging a removal fee. A valid restriction will be applied to Guides-controlled material and onward suppliers instructed accordingly. We will take reasonable steps concerning third-party copies where appropriate, but cannot guarantee erasure of independent reposts or caches we do not control. No such limitation excuses duties imposed on us by law.
10. Earnings, prices, refunds and tax
10.1 Your accepted Commercial Schedule determines the creator share, calculation base, permitted deductions, payout process and any channel-specific economics. No historical advertising statement changes a separately accepted rate. Guides must not activate a paid sales channel without disclosing material channel deductions.
10.2 You control the price subject to displayed technical limits and applicable law. Discounts or promotions reducing your earnings require your agreement or a pre-agreed programme rule. Guides-funded discounts must not reduce your agreed earnings. There is no most-favoured-price requirement.
10.3 Under the approved marketplace-agency model, you appoint Guides as a limited disclosed agent to arrange orders, accept payment, issue confirmations and administer refunds on your behalf. Payment to Guides or its authorised processor discharges the customer's corresponding debt to you. Any channel where Guides or another party is the principal seller requires a separately identified arrangement; it is not silently deemed to be an agency sale.
10.4 You authorise refunds and adjustments required by consumer law or our agreed Refund and Cancellation Policy. We will provide a record and a reasonable opportunity to challenge an error without delaying a customer's statutory remedy. Refunds for defects attributable to your Tour may be deducted from the related earnings. Losses caused by Guides' own error or an unagreed discretionary marketing concession are not automatically charged to you.
10.5 Payout holds must have an identifiable legal, processor, fraud, refund or credit-risk basis, be limited to the reasonably relevant amount and be reviewed. A disputed early-withdrawal claim alone does not justify freezing all unrelated earnings. Accrued sums remain payable subject to lawful adjustments and your completed verification.
10.6 You remain responsible for taxes on your income and applicable obligations as a supplier. Guides, an app store or another party may be legally required to account for transaction taxes, including as a deemed supplier. Contract labels and use of Stripe Tax do not transfer obligations imposed by law. Provide reasonably required tax information; the transaction records must identify which party accounts for the relevant tax.
11. AI, translations and adaptations
11.1 You remain responsible for content you create with AI, including factual verification, safe directions, necessary permissions and avoiding misleading impersonation. You must prominently disclose materially synthetic narration or reconstructions where otherwise likely to mislead and comply with any applicable mandatory transparency rules.
11.2 Enabling a specific translation, transcription or narration feature authorises processing only for that requested feature on its disclosed terms. A cloned identifiable person's voice or likeness requires documented permission appropriate to the proposed use. Approval of translation does not imply approval of voice cloning or training.
11.3 This agreement does not permit Guides or its suppliers to train or fine-tune general-purpose generative models on your Tour content. Any such use requires separate, specific opt-in terms explaining the provider, purposes, retention and withdrawal limits. Necessary retrieval, search indexing, safety checks and technical processing to provide the agreed service are not authority to reuse the corpus for unrelated training.
11.4 Guides must use processors on terms consistent with these limits. You will be told about a proposed substantive adaptation and any additional charge before accepting it. Withdrawal of a future feature permission does not erase customer licences already validly granted to an approved version.
12. Plans, data, discovery and support
12.1 A business subscription, an onboarding fee, its billing period and its cancellation date are separate from a Tour's publication obligation. After an optional plan ends, Guides will provide a distribution-only arrangement for Committed Tours, including Organisation free Tours, and existing documented customer access, or agree early withdrawal, rather than force an unagreed subscription renewal. Editing needed for legal or safety correction must remain possible. Standard transaction economics continue unless lawfully changed or expressly agreed otherwise.
12.2 Data access, ranking, promotional treatment and additional distribution channels are described in the Creator Commercial Schedule, including its approved transparency annex. No particular placement or revenue is guaranteed. Paid or preferential placement must not be disguised as an independent customer endorsement.
12.3 You may access your own uploads and the financial records made available for your account. On request we will provide a reasonable machine-readable copy of your available original content and transaction statements, subject to security, third-party rights and lawful limits. We do not promise disclosure of other creators' confidential information or a right to use customer contact details for unsolicited marketing. Post-termination export requests should normally be made within 30 days; mandatory access and data rights are not extinguished by that administrative window.
12.4 Customer data obtained for fulfilment must be used only for legitimate, disclosed purposes, kept secure and not added to independent marketing lists without a valid basis and any required consent. If you act as an independent controller, you must provide an appropriate notice and honour applicable rights. A processor relationship requires a separate compliant data-processing agreement where relevant.
13. Guides' restrictions and termination
13.1 Grounds and procedures are in the Enforcement and Appeals Policy. Urgent restrictions may address credible illegality, safety, infringement, fraud or security risks. We will act proportionately and provide a statement of reasons on a durable medium where required, identifying relevant facts, contractual grounds and review options.
13.2 Where Guides ends the entire intermediation service for a business Publisher, we will normally give at least 30 days' notice and reasons. We may depart from that period only to the extent applicable law permits, including a binding legal requirement, an imperative legal reason or demonstrated repeated breaches. Immediate protective suspension and final termination are distinct decisions.
13.3 These notice obligations on Guides do not impose a withdrawal notice on you after the Minimum Publication Period. Ending publishing access does not itself revoke a valid Continuing Promotional Licence; its separate safeguards remain. Where we terminate your publishing access, we release the future publication obligation for affected Tours but preserve properly accrued debts, valid customer licences and necessary surviving rights. We cannot demand that a Tour stay publicly listed while our own system prohibits its publication.
14. Changes and existing Tours
14.1 Material changes will be notified in a durable form normally at least 30 days before taking effect, and with longer time where reasonably needed for technical or commercial adjustment. Where platform-business law requires a particular notice, exit right or protection, it prevails. Any permitted urgent exception will be identified and explained.
14.2 You may exercise any mandatory right to reject a change and terminate before it takes effect, even within an initial publication period. We do not rely on this agreement to remove that right. Changes do not retrospectively reduce accrued earnings or existing customers' access.
14.3 This agreement does not retrospectively impose a 12-month term on a Tour published before its acceptance. A Tour with no recorded commitment is enrolled on its next publication with explicit acceptance of these terms; its initial period begins when that accepted publication becomes available to visitors. No earlier publication date is invented or backdated. A period already recorded for the Tour is preserved and does not restart. Any separately negotiated variation must be express and identify the affected Tour.
14.4 On your acceptance, the licences in this agreement replace the broader general content licence for your Tour material prospectively, including identified migrated Tours. Existing customer rights remain protected. Guides will not continue relying on an old unrestricted perpetual clause for new commercial uses of migrated content. A separate negotiated agreement is not cancelled without its required consent.
14.5 No automatic expansion for legacy content. The Continuing Promotional Licence is a material permission. It applies to existing or already withdrawn Tours only after the authorised Publisher expressly accepts the identified terms and assets/versions, with any signature needed for the rights concerned. Silence, a claim code, an old upload or acceptance of an unrelated plan is not that permission. A later standalone marketing acceptance does not republish a Tour, reset its minimum period or authorise new sales. Where no expanded permission is obtained, Guides must stay within the earlier valid licence or stop the unsupported use.
15. Business liability and third-party claims
15.1 Nothing limits liability for fraud, death or personal injury caused by negligence, or other liability that cannot lawfully be limited. This section applies only to a business Publisher and is subject to mandatory fairness and reasonableness requirements.
15.2 Except for the matters in 15.1 and undisputed payment obligations, Guides’ aggregate liability to a business Publisher arising from this agreement in a 12-month period is limited to the sum of Platform commissions retained and plan/support charges paid to Guides by that Publisher during the preceding 12 months. There is no fixed minimum for Guides’ cap. The business Publisher’s aggregate liability to Guides arising from this agreement in a 12-month period, including the indemnity in clause 15.3, is limited to the greater of GBP 25,000 and twice that sum. Neither party is liable for indirect or consequential loss; ordinary direct fulfilment costs are not excluded merely by calling them indirect.
15.3 Business Publisher rights indemnity. Subject to section 15.2, a business Publisher will reimburse Guides for reasonable third-party damages, compensation, settlement sums and external defence costs to the extent directly caused by the Publisher's established breach of the rights warranties in section 5, fraud or unlawful content it supplies. This includes a covered claim about permitted post-withdrawal marketing of its supplied assets, names, logos or excerpts. A breach may be established by a final decision, the Publisher's written admission or a settlement approved under this clause. A complaint alone does not establish breach. The recoverable defence costs include reasonable costs incurred before the breach is established, but are payable under this indemnity only to the extent attributable to the established breach.
The indemnity excludes losses caused or increased by Guides' own breach, negligence, additions not supplied by the Publisher, use outside the licensed scope, disregard of disclosed restrictions or failure to take legally required protective action. Guides must notify the Publisher promptly, permit reasonable participation in the defence with suitable advisers, mitigate loss and obtain the Publisher's approval before an admission or settlement at its expense; approval must not be unreasonably withheld or delayed. Late notice reduces recovery only to the extent it prejudices the Publisher's defence. Neither party may impose a non-monetary obligation or admission on the other without consent. Reasonable urgent takedown or protective action is not an admission of liability.
This is a contractual allocation between the parties, not immunity from third-party claims and not an unlimited indemnity. It is subject to the aggregate limit in section 15.2 except where section 15.1 prevents limitation. It does not automatically make an employee or editor personally liable for an Organisation's obligations, and it is not imposed on a Publisher acting as a consumer.
15.4 Amounts actually earned and due to a Publisher are not damages and are not reduced by the liability cap. Refund and transaction adjustments remain governed by the Commercial Schedule; they must not duplicate a recovery under this section. A separately negotiated funded-production agreement may use different proportionate limits if expressly agreed.
15.5 The rights warranties, evidence/cooperation duties and relevant liability provisions survive withdrawal and termination to the extent needed for the authorised continuing uses and claims arising from the agreement. They do not guarantee payment by an insolvent Publisher, remove a third party's rights or require an individual consumer to waive mandatory protection. Refunds, indemnities and damages must not duplicate recovery for the same loss.
16. Complaints, mediation and governing law
16.1 Raise a publishing, technical, financial or policy complaint at hello@guides.app. Our complaint process is free. We will assess relevant information, explain the decision and offer human review of a contested automated restriction. The Enforcement and Appeals Policy describes the process and response targets.
16.2 We are willing to attempt business mediation through an appropriately qualified mediator appointed through CEDR or ADR Group, subject to availability and suitable arrangements. Where platform-business law requires mediation, we will participate in good faith and bear a reasonable proportion of costs as that law requires. Mediation is not a compulsory prerequisite to court proceedings or urgent relief. These named services are proposed appointments, not a claim of existing scheme membership.
16.3 England and Wales law governs this agreement and, subject to mandatory law, the courts of England and Wales have exclusive jurisdiction for business disputes. Consumer and mandatory cross-border rights remain preserved. Neither party may use this agreement to contract out of applicable platform, consumer, intellectual-property or data-protection law.
17. Survival and general matters
Accrued payments, necessary accounting, confidentiality, customer licences, the Continuing Promotional Licence and other rights and safeguards in section 9, applicable rights warranties, claim provisions and dispute provisions survive to the extent and duration expressly stated. Survival does not excuse Guides' own breach or remove a mandatory termination, privacy or consumer right. Neither a subscription renewal nor silence creates a new Tour commitment. Amendments to exclusivity or an identified Tour's fixed term require express agreement. The general severability and successor provisions in the Terms of Use apply consistently with these limits.
