Business Plan Terms
Effective date: 24 October 2026 Last updated: 24 October 2026
1. Business plans and orders
These terms govern subscriptions and organisation/team plans bought for genuine business or professional purposes from JITI LTD. They supplement the Terms of Use and, for publishing, the Creator and Publishing Terms. Mandatory consumer rights still apply where a person is legally a consumer despite an account label.
An order, checkout or signed plan schedule must identify the contracting business, plan, price and currency, applicable tax, billing frequency, any initial plan commitment, renewal rule, allowances, activation conditions and cancellation method. A Tour's 12-month publication commitment is not automatically a 12-month subscription commitment.
1.1 Negotiated organisation orders
For organisations that contact Guides before registering, we may prepare a bespoke Company Plan Order (an "Order") and issue a company claim code. An Order must identify the actual legal contracting entity, the authorised representative, the ordered plan and its start conditions, the applicable price, commission and fee rules (if any), seat/Tour allowances, billing and cancellation arrangements, and any expressly negotiated variation. The legal entity may be a company, charity, public body or another entity capable of contracting; its profile name is not necessarily its legal name. We will supply the accepted Order and referenced terms in a form the Organisation can retain.
A negotiation, internal plan assignment, quotation or issued claim code does not, on its own, establish that the Organisation accepted a paid contract or authorised charges. Acceptance requires an authorised representative's recorded signature or affirmative online acceptance of the identified Order and referenced versions before chargeable service is activated. An authorised person may accept before redeeming the claim code or through an appropriately authenticated registration flow.
1.2 Effect and precedence of a negotiated Order
An accepted Order overrides these Business Plan Terms only for the matters and amounts the Order expressly identifies. The Creator and Publishing Terms continue to govern content ownership, licensing, all qualifying Organisation Tour publication (including free Tours), withdrawal and customer continuity unless the Order or a separate signed agreement expressly identifies an affected provision and the relevant Tour(s) or objectively defined group of Tours, and lawfully agrees a different rule. A bespoke onboarding fee, reduced or zero commission, free-only visitor offer, Tour allowance or company account does not waive the standard 12-month publication commitment for Organisation Tours, introduce exclusivity or alter existing customer rights. The separate per-Tour acceptance also identifies the Continuing Promotional Licence for supplied names, logos, individual images and excerpts, including permitted new marketing after withdrawal. Private, white-label or restricted-audience content requires express identification of assets cleared for public promotion; there is no implied right to disclose confidential content. Mandatory law and existing customer entitlements always take precedence.
2. Activation and allowances
Paid features begin on the date stated in the accepted Order after the agreed activation conditions are met. Where the Company Plan is a paid plan and the accepted Order requires a first invoice to be paid before activation, Guides may allow the nominated owner to register or claim the company account while keeping Tour publishing and additional member/paid-feature allowances locked until that invoice is paid and required identity/rights checks are complete. We must disclose this condition before acceptance. The Order must say if a free or grandfathered plan has a different activation rule. Registration, an unclaimed organisation profile or an internal plan assignment does not alone authorise charges or create a payment contract.
A claim code is a limited-use credential to associate a verified company account and its authorised owner with the correct accepted Order and plan. It is not a licence to use a third party's name or content, proof of representative authority, a payment authorisation, a signature or a substitute for accepting the applicable terms. We may expire, revoke and reissue an unused or compromised code after verifying identity, without changing the accepted Order. We will give an appropriate means of resolving an erroneous, disputed or unauthorised claim. Team invitations and acceptance of personal account terms do not, by themselves, authorise the invitee to change the Organisation's contract.
We will not retroactively charge for an existing free baseline or revoke a grandfathered entitlement without an applicable agreement and lawful change process. An onboarding/setup fee and any special sales commission must be stated in the accepted Order; neither changes the publishing minimum automatically. A free-only organisation still accepts the applicable publishing terms before launching a Tour for external visitors. Your plan's actual seat, Tour and feature limits must be available before purchase and in the account.
3. Billing and renewal
We charge only the accepted price and authorised usage/overages. An overage requires a disclosed rate and method of control; it is not inferred from continued use. Renewals occur only where the order clearly states that the subscription renews and gives the billing interval and price or lawful change process.
You may stop a renewal using the cancellation control or by emailing hello@guides.app before the next renewal takes effect. Cancellation normally takes effect at the end of the paid billing period, with no further advance-notice period unless a separately signed business order expressly and fairly provides otherwise. We will acknowledge the cancellation in a form you can keep.
Cancelling a plan does not automatically withdraw a Tour, revoke a customer's purchase or restart a publishing period. Nor does a Tour commitment authorise further subscription charges after a plan has ended. A bespoke Order can have its own lawful minimum billing commitment if expressly agreed, but it remains distinct from the publishing period. Only the contracting Organisation's authorised representative may approve a material Order variation; an invited editor cannot do so merely by using the account.
4. Changes, cancellation and refunds
Upgrades, downgrades, prorated charges and their effective dates must be shown and accepted before the change. No downgrade may destroy existing purchase entitlements. Material plan or price changes require reasonable advance durable notice, normally at least 30 days, any longer mandatory period, and an opportunity to stop the affected renewal before the change applies.
Fees for an already supplied business billing period are not refundable merely because you choose not to use the plan, unless the order says otherwise. This does not exclude refunds or other remedies for our breach, non-supply, an agreed guarantee or mandatory law. A disputed invoice does not remove the need to pay genuinely undisputed amounts.
5. When a plan ends
We may disable paid collaboration, optional branding or new-publication allowances after a plan ends. We will preserve documented existing customer access and provide a distribution-only arrangement for already committed Organisation Tours, whether free or paid, and other Committed Tours, with access for necessary safety/legal corrections, or agree a justified early withdrawal. We will not require indefinite paid subscription renewal solely to keep a Tour available during its initial publication period.
Financial reconciliation and reasonable content/data export remain available under the publishing agreement. Ending the plan does not revoke a separately accepted Continuing Promotional Licence, extend its scope or override its legal, rights and privacy safeguards. An ownership dispute or departing team member must not be used to delete content owned by the contracting organisation without authority.
6. Non-payment and security
We may suspend affected paid features after notifying you of a material overdue undisputed amount and allowing a reasonable opportunity to remedy it, ordinarily at least 14 days. Immediate restrictions may be justified by fraud, security or legal requirements. Restrictions must be proportionate and respect mandatory business-platform notice and appeal rules. We will not unnecessarily disable unrelated customer purchases.
7. Liability and disputes
Nothing limits liability that cannot lawfully be limited. For a genuine business plan, each party's aggregate liability arising from the plan in a 12-month period is limited to the greater of GBP 5,000 and the plan charges paid or payable for the preceding 12 months, excluding fraud, death or personal injury caused by negligence, and payment debts. Neither party is liable for indirect or consequential loss. Applicable reasonableness requirements remain.
Publishing and related promotional-rights claims, including the business Publisher rights indemnity, use the publishing agreement's applicable limit; a single loss cannot be recovered twice or receive two cumulative caps. Any claim spanning both contracts uses the limit associated with the obligation principally breached, subject to mandatory law.
Complaints, applicable law and business jurisdiction follow the Creator and Publishing Terms where you are a Publisher, otherwise the Terms of Use. These business-plan terms are not a substitute for separate consumer subscription terms if Guides later offers recurring consumer subscriptions.
